Terms of Service

1. Introduction

Welcome to Lynxer ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Lynxer platform available at lynxer.io (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Lynxer is a software-as-a-service platform that enables vacation rental property managers to distribute their listings directly to Google Hotels and other distribution channels through integrations with property management systems (PMS).

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years old and have the legal authority to bind the entity you represent to these Terms. Each account corresponds to a single tenant (property management company or individual property manager).

3. Service Description

Lynxer provides the following core services:

• Integration with property management systems (e.g., Guesty) to import property data
• Direct distribution of property listings to Google Hotel Center via ARI (Availability, Rates, and Inventory) data feeds
• Real-time synchronization of rates, availability, and inventory between your PMS and distribution channels
• Property grouping and configuration tools for managing multi-unit properties
• Custom booking URL configuration for direct booking on your website

4. Payment Terms

The Service is billed on a monthly subscription basis at the rate of $100 per active listing per month, or as otherwise agreed in writing. An "active listing" is defined as a property that is published and distributed to at least one channel through the Service.

Fees are billed in advance on the first day of each billing cycle. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.

5. API Usage and Data

By connecting your PMS account to Lynxer, you authorize us to access, retrieve, and process your property data (including listing details, rates, availability, and calendar data) for the purpose of distributing it to the channels you configure.

You represent and warrant that you have the right to distribute the property data you provide through the Service, and that such distribution does not violate any third-party agreements, including your PMS terms of service.

We utilize third-party APIs (including Google Hotel Center and PMS provider APIs) to deliver the Service. We are not responsible for changes, outages, or limitations imposed by these third-party services.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Distribute misleading, inaccurate, or fraudulent property information
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with or disrupt the integrity or performance of the Service
• Access the Service through automated means (bots, scrapers) except through our documented APIs
• Resell, sublicense, or redistribute access to the Service without our prior written consent

7. Data Accuracy and Responsibility

You are solely responsible for the accuracy, completeness, and legality of the property data distributed through the Service. Lynxer acts as a distribution intermediary and does not verify property listings, pricing accuracy, or availability data. You must ensure your listings comply with all applicable local, state, and federal regulations, including short-term rental laws.

8. Intellectual Property

The Service, including all software, design, text, and graphics, is owned by Lynxer and protected by intellectual property laws. You retain ownership of your property data and grant us a limited license to use it solely for the purpose of providing the Service.

9. Termination

Either party may terminate this agreement at any time by providing written notice. You may cancel your subscription through your account settings or by contacting us at support@lynxer.io. Upon termination:

• Your property listings will be removed from all distribution channels within 48 hours
• Access to the Service dashboard will be suspended
• We will retain your data for 30 days, after which it may be permanently deleted
• No refund will be issued for the remaining period of a prepaid billing cycle

We reserve the right to suspend or terminate your account immediately if you violate these Terms or if continued use poses a risk to the Service or other users.

10. Limitation of Liability

To the maximum extent permitted by law, Lynxer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, bookings, profits, or data, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
